1. Agreement
This End User License Agreement (“Agreement”) is between Adam Nutting DBA TopoSEO (“we”, “us”) and the person or entity that purchases or uses the Substack to WordPress Importer plugin (“you”). By purchasing, installing, activating a license for, or using the plugin, you agree to this Agreement. If you do not agree, do not use the plugin.
2. Definitions
- Plugin: the Substack to WordPress Importer software, in its free and Pro forms, and any updates we provide.
- License: the right to receive updates and support for the Pro features, tied to a license key issued at purchase.
- Pro features: the paid functionality, currently the 301 redirect map, AI alt text, AI SEO meta descriptions, AI category suggestions, and selective import.
3. The software is open source (GPL)
The Plugin’s code is licensed under the GNU General Public License v2 or later (GPL). Nothing in this Agreement limits the rights the GPL grants you in the code itself, including the rights to use, modify and redistribute the code. This Agreement instead governs the commercial services we provide alongside the code: the license key, access to automatic updates, and support. Where this Agreement and the GPL conflict as to the code, the GPL controls for the code.
4. License grant (commercial services)
On purchase of a Pro license you receive:
- A single-site license key, unless you purchased a multi-site or unlimited tier.
- Lifetime updates to the Plugin for that license. The Pro license is a one-time purchase with no recurring subscription or renewal fee.
- Support as described on our website, for the lifetime of the Plugin’s reasonable support period.
A lapsed or inactive license never disables Pro functionality you have already installed; it only stops new updates and support.
5. License key and account
The license key and your purchase account identify your entitlement to updates and support. You agree not to publish, sell or share your license key to let others obtain updates or support they have not paid for. This restriction applies to the key and the service, not to the GPL-licensed code.
6. Your content and your responsibilities
- The Plugin imports your own Substack export. You are responsible for ensuring you have the rights to the content you import. The Plugin is a migration tool for content you own or are authorized to use; it is not a tool for copying other people’s content.
- You are responsible for maintaining backups of your WordPress site before and during an import. Importing changes your site, and while the Plugin is designed to be safe, you use it at your own risk.
- You are responsible for your use of the Plugin complying with applicable law and the terms of any service you connect it to.
7. Third-party AI features
Certain Pro features (AI alt text, meta descriptions and category suggestions) require your own API key from a third-party AI provider (for example OpenAI). By using these features:
- You are responsible for obtaining that key and for all costs the provider charges for your usage.
- Your content is sent to that provider for processing, subject to the provider’s own terms and privacy policy. We are not responsible for the provider’s handling of your data.
- AI output is generated automatically, may be inaccurate or unsuitable, and is provided as-is. You are responsible for reviewing it before publishing.
8. Privacy and data
If you opt in during activation, the Plugin (via our payments and licensing provider, Freemius) collects limited environment and account information to deliver updates, support and security notices. Opt-in is optional and can be skipped. See our Privacy Policy at toposeo.com/privacy. We do not sell your personal data.
9. Payments and refunds
Purchases are processed by Freemius, Inc., which acts as the Merchant of Record and reseller. Taxes, receipts and refunds are handled through Freemius under its refund policy and the refund terms shown at checkout. Contact us at [email protected] for refund help.
10. Disclaimer of warranties
The Plugin is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Plugin will be error-free, uninterrupted, or compatible with every theme, plugin, host or WordPress version.
11. Limitation of liability
To the maximum extent permitted by law, Adam Nutting DBA TopoSEO will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, lost profits, or site downtime, arising from your use of the Plugin. Our total liability for any claim relating to the Plugin will not exceed the amount you paid for the license in the twelve months before the claim.
12. Termination
This Agreement applies for as long as you use the Plugin. We may suspend support or updates for a license obtained or used in breach of this Agreement. Your rights in the GPL-licensed code are not affected by such suspension.
13. Governing law
This Agreement is governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Springfield, Illinois will have exclusive jurisdiction over disputes arising from this Agreement, to the extent permitted by law.
14. Changes
We may update this Agreement. Material changes take effect when we post the updated version at toposeo.com. Your continued use of the Plugin after changes take effect means you accept them.
